1. Introduction

This website, mips.mu (the “Website”), is operated by MIPSIT DIGITAL LTD (“MIPS,” “we,” “us,” or “our”), a company incorporated in the Republic of Mauritius. The terms “we,” “us,” and “our” refer to MIPSIT DIGITAL LTD.

Access to and use of the Website, and of MIPS’s payment orchestration platform, e-commerce solutions, point-of-sale and payment terminals, booking and appointment software, dashboards, reporting tools,
and any other products or services made available by MIPS (collectively, the “Services”), is subject to the
following terms and conditions of use, as amended from time to time (the “Terms”).

The Terms are to be read together with any terms, conditions, or disclaimers provided elsewhere on the
Website, including our Pricing page, and any separate merchant or partner agreement you may enter into with us. Please review the Terms carefully. The Terms apply to all users of the Website and the
Services, including without limitation browsers, prospective and current merchants, partners, resellers,
and contributors of content.

If you access or use the Website or the Services, you accept and agree to be bound by and comply with the Terms and our Privacy Policy.

2. Eligibility

By agreeing to the Terms, you represent and warrant that you are at least 18 years of age and are legally capable of entering into a binding contract, whether on your own behalf or on behalf of a business, partnership, or other entity that you are authorized to bind.

3. Our Services

MIPS provides a digital payments ecosystem for businesses in Mauritius and the region, including but
not limited to:

●  In-store payments, including payment terminals and embedded point-of-sale (Mini Till) solutions;

●  E-commerce solutions, including API and e-commerce platform integrations, payment links, embedded payment buttons, and e-commerce websites;

● Booking, appointment, and ticketing software for various sectors, including hospitality, food and beverage, beauty and wellness, healthcare, and events;

● Dashboards, real-time metrics, sales automation, reconciliation, reporting, analytics, and user management tools; and

● Any hardware, software, subscriptions, or products offered for purchase through our “Our E-Shops” or online store.

We reserve the right to modify, discontinue, or add to the Services, in whole or in part, at any time, with or without notice, and we will not be liable to you or any third party for doing so.

4. Account Registration

Certain Services may require you to register for an account and to provide accurate, current, and complete information, including contact and business details. You are responsible for maintaining the
confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorized use of your account.

5. Use of the Website and Services

You agree to use the Website and the Services for lawful purposes only and not for any illegal or unauthorized purpose, including without limitation any activity that would violate any applicable intellectual property, data protection, anti-money-laundering, or payment card industry law or regulation.

You agree not to attempt to interfere with the security or proper functioning of the Website, our systems, or our payment infrastructure, and not to attempt to gain unauthorized access to any account, system, or network connected to the Services.

You agree to provide us with accurate information, such as your name, email address, business and billing details, and other contact information, in order for us to process your enquiries, onboard you as a
merchant or partner, or fulfil an order. You authorize us to collect and use this information in accordance with our Privacy Policy.

6. Orders, Pricing, and Payment

Any products, subscriptions, or services purchased through the Website (including through Our E-Shops) are subject to availability. Prices displayed on the Website are subject to change without notice and, unless otherwise indicated, are quoted in Mauritian Rupees (MUR).

We reserve the right, in our sole discretion, to refuse or cancel any order, including orders that appear to be fraudulent, duplicative, or placed in violation of these Terms, and to inform the relevant authorities where appropriate.

Where you make a payment through the Website or through the MIPS platform, such payment is processed through our secure payment gateway, which is Payment Card Industry Data Security Standard (PCI DSS) compliant. Card details are encrypted and are not stored by MIPS other than as required to provide the Services and in accordance with applicable law. Accepted payment methods may include
credit and debit cards, bank transfers, and other local payment methods made available on the Website from time to time.

For merchants integrating our payment gateway, terminals, or other Services into their own business, additional terms may apply under a separate merchant agreement, which will take precedence over
these Terms to the extent of any conflict in relation to that specific arrangement.

7. Intellectual Property

The Website and the Services, including all software, platform architecture, trademarks, logos, dashboards, documentation, and content made available by MIPS, are the property of MIPS or its
licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property, except for the limited right to access and use the
Services as permitted herein.

8. Third-Party Links and Integrations

The Website may contain links to, or integrations with, third-party websites, platforms, or services (such as e-commerce platforms, banking partners, or other service providers) that are provided for convenience only. We do not review, endorse, control, or accept responsibility for the content, products, services, or privacy practices of any third party, and your use of any such third-party site or service is at your own risk.

9. User Content and Submissions

You are solely responsible for any information, feedback, reviews, or other content (“Content”) that you submit, post, or share through the Website. You represent that you have all necessary rights to submit such Content and that it does not infringe the intellectual property or other rights of any third party, and
is not unlawful, abusive, or malicious.

12. Limitation of Liability

To the fullest extent permitted by applicable law, MIPS, its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of revenue, profits, business, or data, arising out of or in connection with your use of, or inability to use, the Website or the Services, whether based in contract, tort (including negligence), strict liability, or
otherwise, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable Mauritian law.

You agree to defend, indemnify, and hold harmless MIPS and its affiliates, and their respective directors,
officers, agents, contractors, and employees, from and against any losses, liabilities, claims, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Website or the Services, your breach of these Terms, or your violation of any applicable law or third-party right.

14. Termination

We reserve the right to suspend or terminate your access to the Website or the Services, at any time and without notice, if we reasonably believe that you have breached these Terms or engaged in fraudulent, unlawful, or harmful conduct.

that right or provision. If any provision of these Terms is found by a competent authority to be invalid, unlawful, or unenforceable, that provision will be severed, and the remaining provisions will continue in full force and effect.

18. Governing Law and Jurisdiction

These Terms, our Privacy Policy, and your use of the Website and the Services are governed by the laws of the Republic of Mauritius, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of Mauritius.
